**LEGAL AFFAIRS MANAGER**
**Provide legal opinions, guidance and direction to the business to ensure the companys exposure to legal risk is minimized. This includes, but is not limited to, ensuring legislative and regulatory compliance, and adherence to Corporate Governance principles. Further, managing relationships and service level agreements with key internal and external stakeholders.**

**Budget Management**
Support the Group Company Secretary and Head of Legal and the Legal departments adherence to budgeted expenditure
Support the division to manage and control monthly operational expenses and achieving cost-savings for the business wherever possible.
Managing fees on all allocated projects.
**Legal Expertise and Support**
To ensure that all business divisions are properly supported on legal matters.
To ensure the companys exposure and legal risk is minimized.
Draft and/or review various commercial agreements
Draft and/or review written correspondence of a legal nature by the Company to various stakeholders.
Assist with the interpretation and implementation of commercial agreements.
General, commercial and legal advice to the business as and when required.
Provide legal opinions on various matters as and when required.
Brief external attorneys when required.
Provide guidance on questions of governance where necessary or appropriate.
As and when required, attend commercial agreement negotiations with the divisional representatives to ensure compliance with regulations/legislation and that the companys exposure to legal risk is minimized.
Assist with the career development of the legal interns.
Update the Group Company Secretary and Head of Legal on relevant matters so as to ensure Exco is informed of significant legal issues and new developments which are likely to affect the operations of the business.
Collaborate with leaders within the business where necessary in respect of legal and/or commercial issues.
Oversee and manage restructuring / retrenchment / redundancy exercises within the group.
Assist with disciplinary and grievance proceedings.
Represent the company in selected and more complicated disciplinary cases at either the NBCCI or CCMA.
Manage labour strikes and and/or labour unrest involving the business.
Resolution of disputes, both commercial and labour.
Assist Pharmacovigilance Dept with customer complaints and draft correspondence in relation thereto.
Assist the business with Marketing Code complaints and draft of correspondence in relation thereto.
Preparation of quarterly reports in regard to Health & Safety Stats for the group
Preparation of quarterly reports in regard to outstanding and pending litigation involving the Group.
Attend quarterly risk meetings iro of each business unit and provide relevant input and advice.
Consider and decide on possible litigation involving collections related to motor vehicle insurance claims.
Review of draft policies, written procedures and SOPs as and when required.
Draft of disciplinary charges and advise HC on the way forward.
Attend to any and all serious incidents (i.e., injuries and/or death, armed robberies, etc.) on company premises involving the Companys employees and/or 3rd parties requiring legal oversight and/or advice, whether during or outside of working hours.
**Stakeholder Management**
To build and manage relationships with key internal and external stakeholders and service providers
Manage the Companys Intellectual Property Portfolio.
Liaise with the Companys external Intellectual Property attorneys.
Instruct external attorneys and managing High Court civil litigation involving the various business units.
Monitor civil litigation and provide necessary mandates as and when necessary.
Instruct external attorneys and managing labour litigation in the Labour Court.
Monitor labour litigation and provide necessary mandates as and when necessary.
Manage relationships and liaisons with all law enforcement agencies, including SAPS and SAHPRA Law Enforcement.
Conduct internal criminal and other investigations.
Draft and prepare statements and other documentation (dockets) concerning any criminal conduct by employees and external parties for submission to SAPS and/or SAHPRA Law Enforcement for investigation.
Liaise with SAPS and/or SAHPRA Law Enforcement during any criminal investigations.
Manage relationships with external security companies appointed to safeguard the Company.
Manage external criminal investigations by SAPS, SAHPRA, BPCS, etc.
**Minimum qualifications required by the position**:
LLB Degree (Admitted Attorney)
Post degree qualification in Labour Law an advantage
**Minimum experience required by the position**:
Minimum of 5 years post-qualification and relevant experience
