Senior Legal Advisor

**Duties and Responsibilities**:

- Participating in the relevant committees and reporting on and highlighting legal or reputational risks to management and/or relevant stakeholders for corrective action to be taken.
- Structuring, negotiation, documentation, and on-going management of legal aspects of transactions within a risk framework acceptable to the organization and in compliance with Credit committee’s approval conditions and relevant organizational policies.
- Providing commercially viable solutions to technical issues.
- Drafting, reviewing and negotiating corporate banking and finance documentation across the debt, properties, empowerment and equities sectors such as - committed bilateral and syndicated loans, risk/funded participation agreements, guarantees and indemnities, letters of credit, secondary debt trading documentation.
- Drafting, reviewing and negotiating security documentation.
- Advising on distressed debt, restructurings, work outs and related documentation.
- Advising on insolvency and litigation issues.
- Drafting, reviewing and negotiating non-core business documentation.
- Managing complex transactions arising in the JSE Listed and corporate client sector.
- Preparing and updating precedent and know-how systems.
- Building and maintaining effective relationships with relevant stakeholders and users by attending meetings and forums.
- Developing trusting professional internal relationships by keeping relevant stakeholders and users informed of any new changes to the law which may impact their business.
- Identifying legal and/or specialist needs of relevant stakeholders to provide relevant legal advice and proactively meet their needs by building trusting and professional relationships.
- Develop trusting professional internal relationships by keeping relevant stakeholders and users informed of any new changes to the law which may impact their business.
- Developing professional relationships with external clients, external legal counsel and external legal advisors representing client interests by managing relationships and leading commercial negotiations.
- Annual reviews of standard templates.
- Maintaining and updating legal templates on the LMA format.
- Ensuring sound and efficient legal processes exist between legal and operations.
- Drafting of high-quality legal agreements.
- Ensuring company’s risk is adequately identified, mitigated and/or managed through sound legal drafting of legal agreements.
- Providing guidance to the organization’s lender representative and operations on financial close processes.
- Ensuring quality standards and best practices are met through assessing, monitoring and vetting of legal advice and/or opinions and the drafting of sound legal documentation that addresses all legal risk and taking corrective action where required.
- Regular reporting to the Legal Head on workload, turnaround times and skills development.
- Proactively identifying areas for business and legal improvement.
- Project managing projects identified for improving legal efficiencies.
- Managing appointing, briefing and monitoring of outside legal counsel whilst containing costs, all within the framework of the applicable organizational Legal Policy.
- Contributing to a culture conducive to the achievement of transformation goals by participating in the organizations Culture building initiatives.
- Participating in the development and implement action plans to address issues raised in culture surveys to improve results.
- Addressing issues raised in culture surveys by participating in the development and implementation of action plans.
- Participating in and supporting corporate responsibility initiatives.
- Achieving operational excellence by supporting the implementation of business optimisation improvement through team engagement.
- Encouraging teams to generation innovative ideas and share knowledge.

**Qualifications and Requirements**:

- LLB degree.
- Registered attorney with 5 years related experience, post articles.
- Admission as an attorney of the High Court.
- Experience as a senior legal advisor in general banking and finance / legal practice with a focus on drafting and negotiating banking and corporate contracts.
- LMA drafting and structuring an advantage.
