Job Summary

Absa CIB legal is currently looking for a project finance Legal Counsel. In this role we are looking for your legal expertise in order to identify and manage legal risk within CIB. You will also be the key point of contact on a day-to-day basis for the transaction team, and responsible for providing pro-active legal advice, support and risk management. This role involves providing dedicated legal support, putting in place a working model in order to maximise synergies between teams and business areas to ensure that they work together in the most effective way.

Job Description
- Assist in structuring, negotiating, drafting and vetting of legal agreements (CTA and facilities agreement and project agreements ) and documentation relating to funding agreements, transactions and new products.
- Help to develop funding/lending structures and best practice guides for use within business.
- Address all probable risks by seeing to it that they are sufficiently addressed in legal agreements drafted.
- Consider, comment, draft, vet, negotiate and give advice on documents / agreements for the business including but not limited to Request For Proposals, term sheets, mandate letters, expressions of interest and letters of support, security documentation, debt parallel structures, Security SPVs, legal opinions, participation agreements, security trustees, cross border lending, facility agent, security trustees, PIMs, security structures, concession agreements, PPPs, power purchase agreements, offtake agreements, shareholder agreements, equity funding and equity share retention agreement, risk participation agreements, reserved based lending, receivable lending, pre export finance, construction contracts, EPC, O&M, Turbine supply agreements, Balance of plant, self build, connection agreements, distribution agreements, direct agreements, lease agreements, option agreements, servitude agreements, GNB, SNB, CCMB, put agreements, call agreements, sovereign lend, political risk insurance policies, commercial risk insurance, MIGA cover, guarantees and indemnities and primary lending facility documentation in respect of both bilateral and syndicated transactions as well as preference share transactions, mezzanine lending, subordinated lending, Debt service reserve Facility, financial covenants, ICA principles, standstill periods and voting thresholds, working capital facilities, VAT facilities, Maintenance Reserve facilities. Project Agreements. Letter of credit, PCGs, liquid security. Share for asset swop lending; Acquisition finance, asset based lending, structural subordinated lending, legal framework agreements.
- Provide legal advice on transactions or deals to be done, or transactions that have been concluded, waivers, transaction management
- Conduct legal due diligences on transactions (corporate authorisations, property, litigation, Authorisations, Licenses/permits), review lender technical and environmental due diligence, review insurance due diligence, review lender advisor engagement letters
- Provide advice on capacity, procurement process, legality, the lawfulness and enforceability of agreements and documents.

Education

Bachelor Honours Degree: Law, Military Science and Security (required)
