Who is Futuregrowth?
Futuregrowth has been South Africa’s leading Fixed Income manager for more than
years, with around R193 billion of client assets under management (as at 31 December
2021). We manage a range of fixed interest and development funds and play a leadership
role in the asset management industry in South Africa. We are committed to investing our
clients’ funds in a responsible manner, with the interests of our clients always coming first.
Futuregrowth is based in Cape Town and is operating with a hybrid working model: 70%
from the office and 30% remotely.

Purpose of the position
- As part of a team, to be responsible for deal origination, including developing and

maintaining counterparty relationships, deal analysis and the assessment of investment
opportunities, and to negotiate, structure, conclude and manage private equity (and
some debt) transactions.

Key responsibilities of the position

1. Generating investment thesis/ideas emanating from market developments, sector

information and/or company developments.

2. Participating in negotiations of new investments with support of experienced team
members on behalf of the various Futuregrowth funds.

3. Preparing and presenting of Investment reports on new and existing portfolio

investments for submission to the Futuregrowth Investment Committee.

4. Providing financial evaluation of project investment opportunities to the Investment

Committee which includes but not limited to:

- Historical financial statement analysis;
- Historic and forecasted financial ratio analysis as well as scenario testing analysis;
- Creating and analyzing complex financial models (including sensitivity analysis) to

support potential investment opportunities;
- Conduct market research in potential investment sectors;
- Conduct extensive company and industry due diligence; and
- Conduct other counterparty analysis (governance, environmental, social,

competitive, management, etc.).

5. Reviewing and negotiating transaction legal documents such as Memorandum of
Incorporations, Shareholders Agreements, and Share Purchase Agreements with the
assistance of experienced team members.

6. Work collaboratively with team members outside of the investment team to ensure deal
capturing, reporting, monitoring and valuations.

7. Post investment monitoring of new/existing investments which includes but not limited

to:

- Reviewing monthly management accounts of Portfolio Companies and annual

forecasts;
- Ensuring through reviewing that the implementation of agreed strategic vision with

management/co-shareholders is on track thereby increasing shareholder value;
- Preparing of annual and ad-hoc valuation reports on various Portfolio Companies to

be submitted to the Futuregrowth Valuation Committee.
