**Duties and**

**responsibilities**
- Experience in and drafting of documents and agreements associated with company law, investment transactions, share sale and purchase agreements, shareholders agreements, MOI’s, etc.
- Negotiate, draft, review, and advise on:
oEngineering, construction and related agreements.

oLand development, land sales, and related agreements.

oJoint venture and SPV agreements.

oTerm sheets, MOU’s, joint venture agreements.

oFinancing agreements, including project finance.

oEtc.
- Provide general legal advice.
- Advise on legal risk management.
- Handle contractual disputes.
- Manage litigation and dispute resolution.
- Provide legal information, advice and opinions.
- Formulate policies and procedures.
- Scrutinize all legal documents.
- Supports negotiation team.
