Job Title: In-House Corporate Attorney

Job Summary:

We are seeking a highly skilled and experienced In-House Corporate Attorney to join our team at Performability. As a key member of our legal department, you will play a critical role in supporting our company's M&A, investment, and corporate development activities.

Responsibilities:

  • Assist with mergers and acquisitions, investments, and other strategic transactions, including due diligence, negotiation of term sheets, and definitive transaction agreements.
  • Draft and assist with the preparation of M&A-related materials.
  • Assist with other special corporate projects, including capital raising and business development initiatives.
  • Provide advice on business transactions, analyze and interpret laws, rulings, and regulations, and review, draft, negotiate, and implement legally binding agreements on behalf of the company.
  • Conduct due diligence, negotiate, and oversee a wide variety of commercial transactions.
  • Draft memoranda, applications, and general business correspondences.
  • Assist directors and managers with their rights and responsibilities to manage the company.
  • Provide advice on legal compliance and human resources.
  • Design and oversee the company's policies and positions on legal matters.
  • Protect the company against legal risks and violations.

Requirements:

  • Five or more years of PQE experience, preferably in M&A and venture capital or investment transactions.
  • A combination of both in-house and law firm practice experience is preferred.
  • Extensive understanding of corporate, contract, and commercial law.
  • Strong business acumen, experience in mergers and acquisitions, project management, and negotiations.
  • Ability to give executive-level guidance in a timely manner.
  • Working knowledge of tax law, company law, corporate finance, employment, and Labour laws.

Working Conditions:

Standard hours: Monday to Friday, 08h30 to 17h30. Extended hours from time to time. Be on call and standby after hours and weekends. Travel may be required from time to time to Zimbabwe and locally.

Qualifications:

B.Com (majoring in economics or accounting) LLB, Admitted Attorney, and a valid driver's license.
