We are seeking a highly skilled Corporate Governance Specialist to join our team at PKF Octagon.
About the RoleThis is an exciting opportunity for an experienced professional to take on a key role in supporting our clients with their company secretarial needs.
Main Responsibilities- Directorate Changes: Ensure seamless execution of directorate changes, including appointments and resignations.
- Year-End Changes: Coordinate year-end changes, including updates to company records and compliance documents.
- Company Name Changes: Manage the process of changing a company's name, ensuring all necessary steps are taken.
- Main/Object of Business Changes: Assist clients with updates to their company's main or object of business.
- MOI Amendments: Oversee amendments to Memoranda of Incorporation (MOIs).
- Authorised Capital Amendments: Facilitate changes to authorised capital.
- Removal of Directors: Handle the removal of directors from companies.
- Share Amendments: Manage share-related changes, including allotments and cancellations.
- Replacement of Share Certificates: Assist clients with replacing lost or damaged share certificates.
- Appointment and Resignation of Auditors: Co-ordinate the appointment and resignation of auditors.
- Change of Registered Address: Update registered addresses for companies.
- Change of Location of Company Records: Manage changes to the location of company records.
- Amendment of Founding Statement CC (Year-end, name change, members and members interest): Oversee amendments to founding statements.
- Company Registration: Assist with the registration of new companies.
- De-registrations (Companies and Close Corporation): Manage de-registrations for companies and close corporations.
- Re-instatements (Companies and Close Corporation): Oversee re-instatements for companies and close corporations.
- Public Officer Changes: Handle public officer changes.
- Trust Amendments: Manage trust-related amendments.
- Traveling to the Masters Office: Liaise with the Master's office regarding various matters.
- Conversion from CC to Companies: Assist clients with converting close corporations to companies.
- New Client Take-on: Support new client onboarding.
- Client Follow-ups: Maintain regular communication with clients.
- CIPC Follow-ups: Track and follow up on Compliance and Enforcement actions.
- Master of the High Court Follow-ups: Liaise with the Master of the High Court regarding various matters.
- Invoicing: Ensure accurate and timely invoicing.
- Beneficial Ownership: Assist with beneficial ownership verification.
- Annual Returns: Oversee annual returns submissions.
- Resolutions: Draft and review resolutions as required.
- Other Secretarial Duties: Perform other secretarial duties as assigned.
- Proficiency in Corporate Governance and Statutory Compliance: Strong understanding of corporate governance principles and statutory compliance requirements.
- Interpretation Skills: Ability to interpret information effectively to ensure maximum benefit to the firm.
- Administrative Support: Provide strong administrative support to internal stakeholders and clients.
- Methodical Approach: Demonstrate a methodical approach to tasks and deadlines.
- Attention to Detail: Ensure attention to detail and quality of output.
- Excellent Communication Skills: Possess excellent written and verbal communication skills.
