About the Job

We are seeking an experienced In-House Legal Advisor to join our team in Johannesburg. As a key member of our team, you will provide expert legal advice on general commercial and/or construction law, with a focus on FIDIC contracts.

You will work closely with the transaction, construction, and asset management teams, managing contract and document processes, and interpreting legal agreements such as commercial, financial, EPC, and O&M agreements.

Key Responsibilities:

  • Contract Management: Manage contract and document processes, including drafting claims and responses to claims from contractors, advising on corporate governance and companies act obligations, and negotiating legal agreements such as options to purchase land, long term leases, share purchase agreements, non-disclosure agreements etc.
  • Transaction Administration: Set up and maintain project data rooms, manage due diligence processes, and participate in financial close meetings.
  • Operations Administration: Administer PPA, Shareholders Agreement, and Finance Documents, prepare reporting timetables for each project company, and ensure all teams are aware of their reporting requirements.

Requirements

  • Qualifications: Minimum 4-year post articles experience, preferably in general commercial and/or construction law.
  • Experience: Experience working on FIDIC contracts and managing contract and document processes.
