Senior Corporate Governance Specialist

Job Summary
">This role involves collaborating closely with the Group's operating boards, non-executive directors, local counsel, and company secretarial advisors, ensuring efficient governance processes across the Group.
Duties and Responsibilities:
- Governance and Compliance:
- Implement and manage governance frameworks, policies, and procedures for the Group and its subsidiaries in line with regulatory requirements.
- Ensure compliance with statutory requirements and regulatory obligations, including filings, registers, and records maintenance.
- Coordinate board and committee meetings, ensuring timely distribution of meeting packs, minutes, and resolutions.
- Maintain up-to-date records and filings with regulatory bodies in various jurisdictions.
- Board and Shareholder Support:
- Provide support to the Group's operating boards and committees, including scheduling, preparing agendas, and following up on action items.
- Facilitate communication between the Group holding companies and the operating companies, ensuring proper governance practices are followed.
- Liaison with External Parties:
- Work with local counsel, company secretarial advisors, and other external professionals to ensure adherence to local regulatory and compliance frameworks.
- Leadership and Management:
- Manage and mentor the Company Secretarial Assistant, delegating tasks effectively while providing oversight and guidance.
- Foster collaboration and communication across the Group's entities and with external stakeholders.
- Corporate Documentation:
- Prepare, review, and submit corporate governance documents, ensuring accuracy and adherence to legal requirements.
- Draft and amend governance policies, resolutions, and agreements as needed.
- Regulatory Reporting:
- Oversee the preparation and submission of annual returns, financial statements, and other required documents to relevant authorities.
