Key Responsibilities

We are currently seeking a Head of Governance and Compliance to join our team at Edge Executive Search.

Main Responsibilities
  1. Legal-Commercial
    The successful candidate will provide expert advice on contract drafting and reviews for the Group, including negotiation of terms in most instances. They will also offer legal/commercial advice to GMs across the group pertaining to interpretation of existing contractual arrangements (drafting cancellation notices/addenda).
  2. Compliance
    Our ideal candidate will be responsible for running KYC processes with banks, handling ad hoc requests from auditors/providing walk-throughs on legal processes, applying for dispensation on behalf of specific departments, and ensuring that required approval is received from the Board.
  3. Litigation
    This role involves managing specific litigation matters from inception (LOD drafting stage) and handing over to the attorneys if required - monitoring progress on said matters until finalised.
  4. Cosec
    The successful candidate will manage administrative elements of quarterly Group and subsidiary board meetings (prepping agenda, minutes, submissions, setting meetings up etc., taking on cosec role in some instances), co-run LCC meetings across the Group, and file annual returns on CIPC for the group.
  5. Projects | Big Matters
    Our ideal candidate will work with the IT team and units to create an online contract register/running project, manage major transactions within the group (Yellowwood + Refinance), and assist as and when required (usually providing information to banks, prepping required resolutions, assisting with getting same approved by members of the board within required timelines).
  6. Internal Control Procedures
    The successful candidate will work with GMs + Ops teams to update specific ICPs for each entity (including filing same with relevant gambling boards, meeting compliance teams at the Boards and running with processes till completion/approval).
  7. Administrative
    Our ideal candidate will be responsible for weekly/daily review and distribution of Government and Provincial Gazette Notices relevant to the industry, raising purchase orders for monthly invoicing from the attorneys and other suppliers being made use of, attending to legal and compliance filing, attending to all subpoenas received, ensuring the requested information is provided, assisting with auditors' queries, and attending to queries and calls from across the group on various matters.
  8. Credit Applications
    The successful candidate will review group credit applications and negotiate terms on group credit applications.
  9. Agreements
    Our ideal candidate will review and drafting of agreements for the group including SLAs, EDs, SDs, Barter, Entertainment agreements etc., negotiate terms of such agreements internally and externally until finalised, and ensure that all paperwork such as motivations etc. are signed off.
  10. Intellectual Property
    The successful candidate will ensure that all group trademarks are renewed timeously, run searches for any potential infringements, apply for any new trademarks, and instruct and work hand in hand with the IP attorneys in order to ensure that any infringements are attended to.
  11. Debtors
    Our ideal candidate will attend to debtors throughout the month for the group (all administrative requirements), drafting and sending out of LODs to all debtors for the group, attend to full and final settlement letters as well as AODs and the negotiations thereof.
  12. Tenants and Lease Agreements
    The successful candidate will draft lease agreements as well as assist with negotiations, ensuring that bank guarantees are obtained and up to date.
  13. Liquor Licenses
    Our ideal candidate will work close with the liquor licensing agent to ensure that all group liquor licenses are renewed and paid for timeously.
  14. Compliance
    The successful candidate will drafting and submitting of all gaming requests for approval to the GGB (Surveillance changes, tables and slots promos and changes as well as all promotional events for Marketing and Entertainment).

To ensure the group is compliant with the FIC ACT. Ensuring compliance with the ACT and as changes take place making sure we comply by updating accordingly and getting approval from the Board.
