**Job Purpose**:
Vivo Energy Power division develops, finances, constructs and operates power solutions for customers in the Vivo’s 23 African countries. This includes solar, battery and thermal generation.

The contracts manager will be responsible for compliance, administration and management of project contracts. During the development phase of a project they will support the business development team with negotiation and closing out the contracts. Once the contracts are executed the projects contract manager will be the owner of the contracts and responsible for the full compliance, administration and management of the contracts.

The position will interface internally with the development team, construction manager and operations manager and externally with customers, suppliers and services providers.

Contracts include:
1) contracts executed with the customer including but not limited to power purchase agreements, equipment lease agreements, energy supply agreements, land lease agreements

2) contracts executed with suppliers for construction including but not limited to EPC agreements, equipment lease agreements,

3) contracts executed with suppliers for operations and maintenance including but not limited to operations and maintenance agreements

4) contracts executed for support services including owners technical advisor agreements

5) insurance agreements including construction insurance, operations insurance, political risk insurance

6) other adhoc agreements necessary for the project.

**Primary Accountabilities**
- Fully responsible and accountable for the project contracts VE power enters into with third parties.
- In depth understanding of all contracts, their terms, requirements and how they work is critical to success in the role.
- Standardization of contracts across the power division.
- Support and assist the development team in creating, negotiating and executing project contracts to ensure best practice is reflected in contracts and develop an understanding of all deliverables, timelines and conditions of contract.
- Understand and manage all risk elements of the project contracts and manage the liability of the company.
- Ensure compliance with all contractual requirements of the project contracts. Be able to evidence compliance with all contractual requirements and confirm it has been met.
- Understanding, coordinating with technical team and owners engineer for all approvals of engineering documents/milestones.
- Assist with deliverables under contracts ensuring contractual requirements are known and adhered to.
- Understand and manage all liabilities of the contract.
- Once the EPC contract is executed manage the conditions precedent and NTP issuance to contractors. Thereafter ensure all contractual requirements are adhered to throughout construction and including final commissioning and sign off.
- Monitoring the delivery schedule at every stage with the contractors, logistics management and ensuring documentation from contractors is obtained.
- Diligent storage of contracts, all amendments thereto and deliverables under the contracts e.g. all conditions precedent to a contract, confirmation of milestones, etc.
- Contract administrations and record keeping of all contracts.
- Responsible for all contractual amendments in conjunction with the legal team including understanding the requirement for the amendment, drafting the amendment, approvals, execution and storage of the amendment.
- Confirmation that contractual conditions have been met prior to any payment being made.
- Primary point of contact with respect to any contractual issue and management of contractual relationships with all contractual entities.
- Working closely with operating units of Vivo Energy in country to ensure required permits, approvals for the project execution.
- Work with the construction/operations manager of a project
- Confirming all contractual requirements have been adhered to before a payment under a contract is made.
- Collection and storage of all documentation required under the contracts.
- Risk management via contracts including implementation of standardized contracts and understanding any impact of amendments to the standardized contracts.
- Monitoring performance metrics of contracts.
- Carrying out Risk Analysis and Cost - benefit assessment during execution to ensure budgets and execution within budget.
- Conducting contract assessments and audits, reporting and communicating details to project stakeholders by monitoring critical aspects of the contract, deadlines, and milestone delivery at site.
- Control of documentation, ensuring all deliverables are completed by Contractor and Owner engineer before issuance of time of completion certificate.
