Our client based in Braamfontein is looking for a Group Head Legal to join their dynamic team

**ROLE PURPOSE**:

- To manage the legal strategy, commercial risk, governance, and compliance requirements of the Company, including managing contracting and conveyancing, litigation, regulatory reporting, providing legal advice and supporting the Board_

**Minimum requirements**:

- BA Law or LLB required
- 8-10 years in a corporate legal role in the financial services sector
- 4-5 yrs staff management
- Experience in commercial litigation management is preferred
- Financial services or banking experience preferred
- CIS or IoDSA membership preferred

**Key Performance Areas**:

- **Strategy Design & Implementation**:

- To contribute to the organizational strategy development by understanding the key strategic priorities and providing inputs annually
- To develop the organizational legal strategy by understanding the business strategy, identifying the legal requirements to support implementation and achievement of the business strategy and drafting the legal strategy using established methods for approval annually and as required
- **Operational Department Management**:

- To develop the departmental operations plan by understanding the strategy, developing the plan including all projects and key performance measures and submit plans for approval annually and as required
- To manage performance and quality of service by tracking delivery against the agreed deliverables and performance indicators, identifying areas of concern and implementing corrective action monthly and as required
- **Policies, Procedures & Systems Management**:

- To develop the departmental operations plan by understanding the strategy, developing the plan including all projects and key performance measures and submit plans for approval annually and as required
- To manage performance and quality of service by tracking delivery against the agreed deliverables and performance indicators, identifying areas of concern and implementing corrective action monthly and as required
- To develop and draft policies that support the company business environment by reviewing the statutory and regulatory environment, good practices, market environments, stock exchange rules and industry, communicating such policies and facilitating implementation as required
- To manage development and implementation of business processes as it relates to company's legal and corporate governance environment by monitoring efficiency, tracking improvements and compliance, identifying areas for improvement, and recommending amendments as required
- To review and manage systems used by Legal and Compliance by tracking utilizations, identifying areas for improvement, engaging with key role players, providing insight and recommendations and monitoring developments and implementation as required
- **Company Governance Management & Company Secretarial Services**:

- To maintain governance compliance by implementing governance structures, drafting resolutions, monitoring implementation of systems and activities, reviewing and governance compliance, identifying areas of concern and implementing improvements and corrective action as required
- To provide support to Board Members by conducting Board induction sessions, facilitating and/or delivering skills training, providing advice and responding to requests for support as required
- **Statutory and Regulatory Compliance and Risk Management**:

- To maintain overall corporate legal compliance relating to the Companies Act, other statutes and the company's regulatory universe by understanding and interpreting compliance requirements, reviewing company's compliance levels, identing applicable compliance improvements and managing implementation of compliance programmes as required
- To manage corporate and commercial legal risk by monitoring changes in legislation and regulations, analyzing implications for the company, identifying areas of risk and adjusting and implementing the risk mitigation strategy as required
- To develop compliance implementation frameworks and policies and managing the implementation thereof across the business as required
- To manage compliance implementation by understanding the statutory requirements, developing project plans and implementing across the business as required
- To identify and conduct special investigations related to projects by monitoring the environment and identifying areas of concern, receiving requests, conducting investigation and collection of evidence/information, collating information, presenting feedback to relevant managers and supporting any required actions post investigation as required
- **Regulatory Reporting**:

- To manage regulatory reporting by reviewing agreements, term sheets and conditions, understanding reporting requirements and preparing and drafting reports as required
