The Mulilo Community Trusts (“Trusts”) are seeking a Trust Administrator to assist with the management of the three community trusts operating within the Siyathemba, Emthanjeni, and Rhenosterberg Local Municipalities.

The Trusts were established in 2011 as part of the DOE’s REIPPPP with the purpose of realizing broad-based socio-economic development and empowerment of the residential areas or villages located within a 50km radius of Mulilo project sites and any communities in the residential areas within the Siyathemba/Emthanjeni/Rhenosterberg Districts.

The Trust Administrator will ensure that the responsibilities of the trustees related to stakeholder engagement, community projects, and administrative management addressing strategic and operational matters are executed.

**Key Responsibilities**

1. General

The general responsibilities in terms of the Trust Deed will include:

- General administration;
- Oversee management of the finances;
- Assisting the trustees in fulfilling their obligations under the Trust Deed;
- Assisting the trustees in undertaking, facilitating and/or managing the activities of the Trust I the making of allocations to the beneficiaries in respect of projects;
- Identifying potential projects and bringing such projects to the attention of the trustees and the beneficiaries;
- Liaising with the beneficiaries throughout the implementation of a project in order to ensure that milestones are reached prior to subsequent allocations (to the extent applicable) to the relevant project being made;
- Assisting the beneficiaries in the implementation and continued management of projects (to the extent applicable);
- Ensuring that the beneficiaries meet their obligations in relation to the Trust Deed;
- Monitoring the continued success and viability of a project and providing such other administrative assistance to the trustees and the beneficiaries as deemed by the trustees from time to time;
- Ensuring that all financial obligations and records are adhered to as set out in the Trust Deed;
- Ensuring that all secretarial obligations and records are adhered to as set out in the Trust Deed;
- Ensuring that all allocations adhered to the conditions as set out in the Trust Deed; and
- Ensuring that the selection criteria in respect of beneficiaries are adhered to as set out in the Trust Deed.
- Developing policies, procedures and guidelines to operationalise the Trust Deed;
- Identification and development of synergies with other IPP’s in the area; and
- Overall programme management.

2. Fund management

The section below details the services that are provided as part of fund management.

a. Trust governance

The Trust Administrator will perform traditional company secretary duties as part of the trust governance. The Admin will ensure that the Trust is compliant with all relevant legislation and is managed to ensure the maximum social impact.

These services include:

- Preparation of annual trustee planner;
- Scheduling trustee meetings;
- Attending all trustee meetings and taking minutes;
- Maintaining a minute book and attendance register for all Trustee meetings;
- Maintaining a resolution book for all resolutions signed by Trustees;
- Providing administrative support to the trustees in fulfilling their fiduciary duties;
- Ensuring compliance with the Trust Deed;
- Managing the relationship with the Master of the High Court and attending to trustee appointment/resignations, resolutions and amendments to the trust deed;
- Reviewing the actions of the Trust and trustees in terms of all relevant legal and statutory regulations; and
- Managing risk, compliance and assurance processes, including trustee professional indemnity requirements.

b. Strategy implementation and day-to-day management

The Trust Administrator will focus on the operations of the Trust, ensuring that it is run efficiently and effectively and in accordance with the strategic decisions of the Trustees. As per the Community Development Plan and strategy already approved by the Trustees, the Trust Administrator will be responsible for the implementation of that strategy, identifying potential projects and overseeing the running of projects.

This role would typically include:

- Pro-actively identify prospective beneficiary organisations and design projects with the potential to effect real developmental impact for beneficiaries and, ultimately, the country;
- Preparing written recommendations for trustees;
- Negotiating funding contracts with trustee-approved beneficiaries and disbursing funds accordingly;
- Liaising with beneficiary groups (and conducting site visits as required);
- Ensuring an effective stakeholder management with the Siyathemba municipality and provincial government;
- Ensuring the safekeeping of all Trust grant making documentation and a verifiable audit trail including the maintenance of a beneficiary register.
