A Commercial Property Finance Company based in Braamfontein is looking for a Corporate Legal & Compliance Manager to join their dynamic team
**Minimum requirements**:
- BA Law or LLB Required
- 5-7 Years' in a Company Secretarial and Corporate Legal Role in the Commercial Sector
- 2-3 Years' of Staff Management
- Financial Services or Banking Experience Preferred
- CIS or IoDSA Membership Preferred
**Key Performance Areas, Activities and Indicators**:
- **Strategy Design and Implementation**:
- To contribute to the Organizational Strategy Development by Understanding the Key Strategic Priorities and Providing Inputs Annually
- To develop the corporate legal strategy by understanding the business strategy, identifying the legal requirements to support implementation and achievement of the business strategy and drafting the corporate legal strategy using established methods for approval annually and as required
- **Operations Management**:
- To develop the operations plan by understanding the strategy, developing the plan including all projects and key performance measures and submit plans for approval annually and as required
- To manage performance and quality of service by tracking delivery against the agreed deliverables and performance indicators, identifying areas of concern and implementing corrective action monthly and as required
- **Policies, Procedures and Systems Management**:
- To draft policies by reviewing the statutory and regulatory environment, good practices, market environments, stock exchange rules and industry, developing policies that support the business environment, communicating policies and facilitating implementation as required
- To manage development and implementation of business processes by monitoring efficiency, tracking improvements and compliance, identifying areas for improvement, and recommending amendments as required
- To review and manage systems by tracking utilizations, identifying areas for improvement, engaging with key role players, providing insight and recommendations and monitoring developments and implementation as required
- **Company Governance Management & Company Secretarial Services**:
- To maintain governance compliance by implementing governance structures, drafting resolutions, monitoring implementation of systems and activities, reviewing and managing compliance, identifying areas of concern and implementing improvements and corrective action as required
- To provide support to Board Members by running Board induction sessions, organizing and/or delivering skills training, providing advice and responding to requests for support as required
- **Legal Compliance Management**:
- To maintain overall corporate legal compliance relating to the regulatory environment, the Companies Act and other statutory and regulatory compliances by understanding and interpreting legal compliance requirements, reviewing Company's compliance levels, identing applicable compliance improvements and managing implementation of compliance programs as required
- To manage corporate legal risk by identifying areas of risk, implementing mitigation measures, monitoring changes in levels of legal risk and adjusting the risk mitigation strategy as required
- **Regulatory Reporting**:
- To manage regulatory reporting by reviewing agreements, term sheets and conditions, understanding reporting requirements and preparing and drafting reports as required
- To undertake relevant due diligences by assessing practices, determining areas of concern, providing feedback to the business and monitoring implementation of corrective action as required
- **Legal Advisory Services**:
- To provide legal advice on Company contracts and agreements by reviewing draft agreements, understanding implications for the Company, recommending amendments and confirming minimizing legal risk as required
- To draft agreements and contracts by understanding the terms agreed to, drafting agreements, engaging with the parties, agreeing amendments and finalizing agreements as required
- To provide legal advice and opinions by understanding the issue, conducting legal research, developing opinions and providing advice as required
- **Financial Management**:
- To develop departmental budgets by understanding operational requirements, drafting budget and submitting for approval annually and as required
- To manage departmental expenditure by tracking spend against budget, reviewing and approving costs, identifying areas of under or over spend and implementing corrective action monthly and as required
- **Stakeholder Management**:
- To manage stakeholder relationships by liaising with key internal and external stakeholders, providing input and feedback on Corporate Legal and Compliance actions, receiving feedback and contributions and collaborating as required
