Job Spec:
Our reputable Fleet and Supply Chain client that is based in Isando is seeking a skilled Legal, Risk & Compliance Manager to join their team.

Purpose of the job

**Requirements**:

- Must have a valid driver’s license and reliable transport
- B Com Law Degree, LLB or similar
- Beneficial: Post graduate Degree and Admitted as an Attorney of the High Court advantageous
- Legal and Commercial experience - minimum 8 years’ experience in a Legal and Compliance role
- Any other relevant industry certification in compliance, legal and risk management
- Experience in administration of statutory documents
- Experience in the fleet industry will be an advantage, but not essential
- Experience in governance and the functioning of committees
- Report writing and presentation skills.

**Required Skills**:

- Knowledge of relevant legislation, compliance, and governance requirements (including King Codes of Good Practice).
- Sound understanding of legal and financial matters.
- Understanding and working knowledge of relevant South African legislation including, Companies Act, Corporate Law.
- Ability to interpret and explain written organizational policies and procedures.
- A solid knowledge of legal, compliance and risk management practices
- Excellent organizational abilities, accuracy, and diligence
- Able to multitask and work under pressure, with good time management.
- Effective communication and well-developed interpersonal skills
- Respectful of confidentiality
- Excellent verbal and written communication skills
- Excellent negotiation, problem solving and analytical skills.
- Commercial awareness and the ability to understand broader business issues.

**Responsibilities**:

- To establish a sound compliance, risk, legal and corporate governance framework and ensuring that all business practices, processes, and activities are consistent with appropriate regulations as well as internal procedures.
- To manage the legal, corporate governance, compliance, and risk responsibilities in line with the Group policy and relevant stakeholders.
- To function as general legal advisor

Compliance and Governance
- Review our current compliance policies and procedures to identify areas of improvement. Draft new and update existing internal risk and compliance policies so that they match industry standards and Group standards.
- Prepare legal, compliance and risk management reports for top-level management based on internal reviews and advise the Executives on risk mitigation measures and implementation of adequate compliance programs
- Conduct internal investigations where required and address all compliance related matters.
- Maintain elevated levels of knowledge on legislation applicable to the fleet industry and assist with the identification of new legislation for implementation or changes to existing legislation.
- Provide compliance and regulatory training and/ or guidance and general assistance to the business.
- Review, amend and develop new internal policies in conjunction with relevant line manager.
- Develop, document and review Legal, Compliance and Governance procedures and make recommendations for improvement.
- Assist in ensuring effective information flows within the Executive, Attorneys and Group Legal Counsel

Legal
- Drafting and/ or vetting of contracts and agreements, including consulting with legal firms where these activities are outsourced.
- Develop, maintain, and manage a contract library - prompt all with renewal and review notifications.
- Peruse and review all legal documents and ensure on-going management and review of contracts and agreements.
- Develop legal procedure and processes.
- Provide general legal advice and guidance to business units where required.
- Manage ad-hoc internal legal matters and consult with external legal counsel.
- Co-ordination and management of instructions to outside legal practitioners including attorneys and Group Legal Counsel.
- Undertaking legal due diligence exercises where necessary

Risk
- Perform risk assessments and establish our company’s tolerance for risk.
- Manage, maintain, monitor, and update risk register.
- Conduct investigations and maintain schedules for all departments and company entities.
- Recommend ways to control, mitigate and reduce risk.
- Analyze new legislation to determine impact on risk exposure.
- Advise management on the company's compliance with laws and regulations.

Employment/Labour
- Assist the Human Resource Executive with:

- Disciplinary Enquiries
- Employment contracts review where necessary
- CCMA
- Database development on disciplinary hearings

Finance and Contracts
- Assist the CFO with:

- Internal Audit function
- External audit enquiries
- Contract management
- Assist with the legal activities in respect of debt recovery.

**Salary**: R70 000 - R78 000 per Month
