**En étroite collaboration avec le Président de Cerba Lancet **Africa et le directeur du M&A Group**, il/elle est force de proposition sur des opportunités d’achat ou de partenariat (JV, tender offer) capitalistique de laboratoires, de centres d’imagerie.
Il / Elle est en charge de la prise de contact avec les opportunités qu’il / elle identifie, de la présentation du groupe Cerba Healthcare (CHC) et du projet de rapprochement.
**LOCALISATION**:
**You will be based in Africa (Southern Africa) with travels on the continent and abroad.**
**Ce que vous ferez chez nous**:
**En étroite collaboration avec la direction M&A de Cerba HealthCare** (rattachement fonctionnel):
- L’élaboration de la lettre d’intérêt (aspect valorisation, opérationnel) et sa présentation au Comité d’investissement.
- La coordination des équipes pluridisciplinaires en charge des travaux de due diligence.
- Le pilotage de la structuration juridique et fiscale.
- La négociation de la documentation contractuelle.
- La formalisation et le suivi du plan d'intégration.
- Il/elle a la capacité de piloter et être force de proposition pour l’organisation, la qualité du management et des services dans un cadre de compétences diversifiées telles que les orientations techniques, la gestion financière (bilan, budget, contrôle...) et les ressources humaines.
- Il/elle est amené.e à intervenir sur une diversité de typologie de transactions:
- Acquisition
- Création de Joint-Venture
- Structuration d’appel d’offre
Il/elle est amené.e à principalement intervenir sur une diversité de pays en Afrique et en MENA.

**In close collaboration with the President of Cerba Lancet Africa and the Director of the M&A Group**, he/she is responsible for proposing opportunities and fully executing the purchase or partnership (JV, tender offer) of laboratories and imaging centers.
In charge of contacting the opportunities he/she identifies, presenting the Cerba HealthCare (CHC) group and the merge/acquisition project.
**What you will do with us**:
**In close collaboration with the CHC M&A department** (functional attachment):
- The elaboration of Non-Binding Offer (valuation and operational aspects) and its presentation to the Investment Committee.
- Coordination with a multidisciplinary team in charge of the due diligence workSteering the legal and tax structuring
- Negotiating the contractual documentation.
- Formalizing and monitoring the integration plan.
- He/she has the ability to lead and make proposals for the organization, the quality of management and services within a framework of diversified skills such as technical orientations, financial management (balance sheet, budget, control...) and human resources.
- He/she is required to execute a variety of transaction types:
- Acquisition
- Creation of Joint-Ventures
Structuring of tenders
He/she will be required to work on a variety of Africa countries (French, English, Portuguese speaking) and MENA.
**Profil**:
- Diplômé-e de l’Enseignement Supérieur, BAC+5 (école d’ingénieur, Business School, universitaire ),
Il-elle aura participé / conduit des projets d’acquisitions en Afrique et idéalement dans le secteur de la santé sur des entreprises de tailles réduites (2-20 m€ de CA). **Expériences africaines requises.**
- Il-elle parle parfaitement Français et Anglais.
**Compétences / qualités souhaitées**
- Il / Elle fera preuve d’intelligence de situation et de compréhension des spécificités des pays Africains et du MENA.
- Il / Elle devra être capable de démontrer une capacité managériale avec des équipes pluridisciplinaires sans lien hiérarchiques directes (juridique, financier, commercial, achat) en interne du groupe CHC ou externe (gestion des conseils).
- Il / Elle devra faire preuve d’une aisance/compréhension des éléments de structuration juridique.

**Education & experience required**
- Graduate of Master, BAC +5 (engineering school, business school, university...),
He/she will have participated / lead capitalistic operations in Africa and ideally in the health sector on small size corporates (2-20 m€ of turnover). **African experiments required.**
- He/she speaks French and English perfectly.
**Desired skills / qualities**
- he/she must be able to demonstrate managerial skills with multidisciplinary teams without direct hierarchical links (legal, financial, commercial, purchasing) within the CHC group or externally (management of consultants).
- He/she will have a good understanding of legal structuring elements.
