Key Responsibilities:
- Legal Leadership:
- Develop and oversee the banks legal strategy to safeguard its interests.
- Provide sound legal advice to the Board, executive management, and operational teams on a range of issues, including corporate governance, compliance, and regulatory matters.
- Ensure the banks activities comply with local and international laws and regulations.
- Company Secretary Duties:
- Serve as the Secretary to the Board of Directors, ensuring effective governance and communication between stakeholders.
- Prepare and manage all board and committee meetings, including drafting resolutions, meeting minutes, and maintaining statutory records.
- Guide the Board on corporate governance practices and regulatory obligations.
- Risk Management:
- Identify and mitigate legal and regulatory risks to support the banks strategic goals.
- Manage litigation and liaise with external legal advisors as necessary.
- Leadership & Collaboration:
- Build and lead a high-performing legal team.
- Collaborate with internal and external stakeholders to drive organizational success.
Qualifications and Experience:
- Bachelors degree in Law (LLB); a Masters degree or additional qualifications in Law, Business Administration, or Governance will be an advantage.
- Admitted to practice law in DRC or another recognized jurisdiction.
- Minimum of 8-10 years of relevant experience in legal advisory roles, including corporate governance and regulatory compliance. Experience in the banking or financial services sector is a strong advantage.
- Proven track record of advising at the executive and board level.
- Excellent communication, leadership, and interpersonal skills.
