Executive Manager: Legal & Compliance at Transnet SOC Ltd Location: Durban, KwaZulu-Natal, South Africa Responsibilities Develop a comprehensive and integrated Legal, Compliance and Regulatory framework and strategy aligned to the Group’s Strategy to ensure sustainability of the market demand strategy. Provide the strategic direction and leadership in the implementation of appropriate action plans and policies in support of Transnet stated objectives. Executive Management of Legal and Compliance Department – responsible and accountable for implementation of strategy, management and delivery of Legal Services, Litigation and Governance & Compliance matters. Develop and implement strategy: o Analyze and interpret the Group’s strategy and roadmap and relate to the TPT Legal and Compliance roadmaps to determine the direction of specific areas, taking into account: - Legislative/regulatory requirements and implications; - Amendments to current legislation, regulations and policies; - Trends in the industry and international legislation/regulations; - Compliance strategy, policy, procedures, processes and internal control/compliance systems; - Risk assessment and mitigation measures; - Compliance to national and international standards, commercial contracts, asset acquisition and disposals; - Compliance auditing (internal); - Reporting and corporate governance. Ensure compliance in accordance with policies, procedures and legal requirements. Complete compliance actions within the allocated time frames. Implement the Legal, Regulatory and Compliance Strategy and Roadmap in accordance with the Delegation of Authority and the planning document. Manage strategic relationships by identifying relevant role players in accordance with business requirements and dependencies—including internal Group Legal and Group Compliance, Legal and Compliance Forum, external SA panel of legal counsel and advisors, national regulatory bodies and authorities, TPT Risk Committee, TPT Safety Forum, and Divisional Acquisition Council. Set up meetings with role players to discuss roles and responsibilities and possible areas of cooperation, improvement and conflict. Agree to expected outcomes and set up SLAs where required. Monitor performance of all relevant role players continuously to ensure agreements and obligations are honored. Inform role players of outcomes, deviations and actions required. Represent the Company by analysing representation needs and managing occupational representation—providing information, communicating the group’s position, presenting papers, releases and legal matters including court appearances. Manage human resources: develop and deliver a business plan, applicable deliverables and targets; compile performance management documentation in collaboration with staff members, covering job profiles, strategic performance objectives, key performance areas, and personal development plans. Qualifications and Experience LLB. Relevant Post Graduate Qualification. Master’s degree (added advantage). Admitted Attorney/Advocate. 10 years’ experience at Management Level. 7 years at management level. Competencies Business Acumen: Knowledge and understanding of business principles, applications, opportunities and risks. Legal Environment: Sound knowledge of legislation pertaining to legal compliance, corporate governance, risk management, and regulatory response evaluation. Business Environment: Knowledge of the business environment and key role players. Transnet Group Policies and Procedures: Understanding of policies, procedures and standards. Compliance/ Risk Management: Ability to design and implement compliance and risk management strategies, monitor and evaluate effectiveness.
