A global client within the Logistics Industry is seeking a Legal Counsel to join their team.

The role will be responsible for all aspects of company secretarial, paralegal and associated matters for group companies across all departments/regions/ companies.

Based in Sandton.

Requirements:

  • Bachelor and Master's degree in law
  • Minimum of 5 years' experience as an inhouse counsel with a company in the same sector
  • Communication skills, especially when it comes to discussing legal matters with internal clients and counterparties
  • Organizational skills and time management
  • Collaboration and interaction at group and affiliates' level
  • Fluent in English, French/Spanish will be advantageous
  • Accurate, attention to details, conscientious
  • Autonomous and proactive

Duties and Responsibilities:

  • Drafting, reviewing and negotiating all types of contracts, agreements, general terms and templates
  • Advise in support to or in coordination with the General Counsel on assigned business development projects and deals, including legal coordination, drafting/review of contractual documentation and participation in deal negotiations when required
  • Assist the General Counsel in the company governance matter such as preparing board/committee meetings and taking the minutes, drafting necessary resolutions and preparing presentations, when requested
  • Assist in organisation and restructuring the company group entities including company closures, incorporations, mergers and transfers, capital increase, change of director, etc.
  • Taking care of the litigation lists, litigation and claims matters including redoing the formatting and reporting style, liaising/following up regularly with external lawyers and internal stakeholders on developments, negotiating and drafting settlements
  • Provide corporate legal support to the company and affiliates corporate matters such as preparation of NDAs, PoAs, KYCs, etc.
  • Follow up main legislative changes potentially affecting activities of the company and affiliates
  • Maintaining regular communications with board members of all companies, affiliates' members, etc. as needed
  • Assist on other legal matters such as IP matters, establishment of contract management system, as needed
  • Participate in the organisation of the Legal team (filing of contracts and documents, reporting requirements, follow up of documents/invoices/etc.)
  • Provide legal expertise and assistance to the company and affiliates
  • Making sure appropriate Legal support/control is provided to areas of responsibility
  • High quality corporate work
  • High quality litigation work
  • Liaising with different departments and external advisors relating to corporate matters
  • Followup on projects and assignments to reach objectives and respect deadlines
