Ensure adherence to best practices according to corporate governance and ethics.

  • Provide support in the setting of the corporate strategy.
  • Ensure operations remain within prescribed legislated boundaries.
  • Respond to all legal claims and legal inquires directed to MAN.
  • Ensure the laws applicable to product liability & multinational corporations are met.
  • Evaluate the regulatory compliance of the Company's operations.
  • Actively participate in the NSC Risk Committee.
  • Manage the staff within the Legal team.
  • Advise on legal risks affecting operations & give actions in line with MAN's strategic direction.
  • Ensure ExCo & MANCO members are kept informed on legal matters, including contemplated actions.
  • Give legal advice & support to statutory committees on legal consequences of contemplated actions.
  • Perform legal analyses arising from MAN's operations.
  • Represent the Company in industry organisations (e.g. NAAMSA).
  • Offer commercial law advice & assistance to MANgroup & business partners eg Private Capital Dealers.
  • Recommend opportunities/required changes to take advantage of legal & regulatory development.
  • Oversee contractual drafting & sign off to protect the rights of MAN in all transactions.
  • Set up and manage the processes for managing all legal affairs affecting the Company.
  • Evaluate & report on success of each agreement against its intended outcome and expectations.
  • Manage renegotiation of contractual renewals as and when they arise.
  • Provide the necessary legal templates/operational framework e.g. standard forms/contracts.
  • Serve as MAN's key contact & negotiator with government agencies to protect the Company's interest.
  • Review and approve all contracts (both intraGroup and with external business partners).
  • Manage legal risks attendant on day to day transactions and backoffice operations.
  • Support Tendering process (both where the Company is a bidder and Company as the tenderer).
  • Review business processes to ensure ongoing compliance with legal requirements.
  • Represent the Company in litigation and other legal proceedings.
  • Support Amendments to the Approval Framework/ and enactment of new Guidelines.
  • Serve as primary liaison to external counsel.
  • Respond to all legal claims and legal inquires directed to the Company.
  • Implement a regulatory compliance timetable for activity requiring regular review.
  • Monitor actions affecting MAN's rights and assert those rights where necessary.
  • Review MAN group guidelines and policies for compliance with local laws and regulations.
  • Interpret laws, rulings and regulations and advise the Company accordingly.
  • Examine legal data to determine the advisability of defending or prosecuting lawsuit.
  • Act as an agent of the Company and attend to any duties assigned in Board resolutions.
  • Develop risk management strategies and mitigation/contingency plans.
  • Assist in the management of special investigations.
  • Fulfill the duties of Company Secretary of MAN and its subsidiaries.
  • Monitor, identify and report all risks from a legal perspective.
  • Ensure all administrative duties as prescribed by the ExCo or the Board are fulfilled.
  • Manage & Participate in the Board of Directors (MAN & CTB) and relevant committees.
  • Assist in management of Industrial Relations matters.

Qualifications:

  • Must have Matric with an LLB degree

Experience:

  • Experience in the same/similar role 8 years
  • Understanding of the processes, structure and regulation of multinational organisations 1 year
  • Understanding of unique operating requirement in SA: BBBEE, public procurement rules & processes 1 year
  • Management of crossborder transactions, dispute resolution, intellectual property & competition law 1 year
  • Interaction and negotiations with government agencies, including in an international setting 1 year
