Senior Commercial Counsel

We're your dream Legal team


In this position you will be joining Mimecast's global Legal and Assurance Risk and Control team as Senior Commercial Counsel within the Business Law Team, this role is fundamental in providing support for the channel and go-to-market teams in South Africa and will include a variety of commercial, regulatory and compliance matters.

We are ideally looking for a 10 year + experienced commercial and regulatory attorney licensed to practice in South Africa.


Key responsibilities:

  • Working alongside and advising key stakeholders and business partners across the company including sales, marketing, channel, finance, engineering and customer operations and taking a leading role in advising the business with regards to balancing risk
  • Drafting, reviewing and negotiating key commercial contracts including:
  • Customer Terms and Conditions
  • Data Privacy Agreements (POPIA, GDPR, CCPA, HIPAA)
  • Partner and Distribution Agreements
  • Complex and standard vendor Agreements
  • Non-Disclosure Agreements
  • Marketing agreements
  • Advising upon adhoc legal matters including questions regarding contract terms, enforceability, obligations, compliance and remedies
  • Researching and advising upon various regulatory compliance matters including competition law and public sector procurement with an occasional requirement to present to senior leaders.
  • Taking a leading role in crossfunctional project meetings including channel initiatives, promotions, programmatic changes and other ad hoc projects which require legal input or guidance.
  • Providing training on to Mimecast employees with regards to commercial contract negotiations and general legal compliance.
  • Taking a key role in developing and training other members of the legal, assurance, risk and control team
  • Undertaking due diligence and/or compliance investigations from timetotime as needed
  • Exercising sound, practical business judgement at an expert level across legal and compliance issues.
  • Other challenging projects for the Legal Department which may include document drafting, policy or process development, legal research and other adhoc legal work from timetotime.

You'll need:

  • 10 years + as a practicing attorney with relevant experience in a SaaS/technology environment
  • You will need to be adaptable in order to manage negotiations with customers from many different industry sectors, drawing on your commercial acumen and ability to recognise and balance risk.
  • Advanced drafting and negotiations skills with sound analytical skills and attention to detail
  • A sound understanding of regulatory and competition law compliance and ability to analyse, issue spot and advise on regulatory requirements
  • Experience advising in relation to Public Sector Procurement Regulations and contractual requirements
  • Excellent communication and interpersonal skills and ability to effectively prioritise
  • Ability to work autonomously with initiative and confidence and also as part of a team
  • A cando attitude and flexible approach
  • Ability, confidence, and desire to take a leading role within the legal, assurance, risk and control team and an interest in developing other members of the team
  • Be able to demonstrate critical thinking with a pragmatic and solution driven approach.
  • Hold the highest standards of ethics and professional integrity;
  • Flexibility and willingness to work on a broad variety of legal matters and with a positive attitude;
