**ROLE DESCRIPTION**:
From the early stages of documentation (such as term sheets) through to the negotiation of key finance documents (such as facility agreements), this role will work closely with a Senior Transaction Manager to support our UK Commercial Banking (CMB) clients, including Coverage, Origination, Infrastructure, and Sustainable Finance. You will also be a main point of contact for external lender counsel, ensuring the successful completion of loan transactions within the required timeframes.

As a Transaction Manager, you will support multiple loan processes, gaining a comprehensive understanding of the latest loan market trends across the UK. This role provides the opportunity to negotiate key commercial terms and other legal aspects within facility agreements.

**KEY RESPONSIBILITIES**:
**Documentation and Negotiation**:

- Draft lender counsel scope of work.
- Prepare simple fee indemnity letters.
- Review term sheets and facility agreements for compliance.
- Review/Negotiate legal documents (e.g., release letters, reliance letters, legal opinions, fee letters).
- Draft internal dispensations for non-compliant policy points.

**Transaction Management**:

- Execute consents, amendments, and waiver requests.
- Maintain a strong understanding of loan agreements and deal structures.
- Assess client requests thoroughly.
- Provide credit approval summaries and motivations.
- Collaborate with credit, legal, product, and coverage teams.
- Communicate effectively with agent banks and clients.
- Coordinate life cycle events (e.g., draw, breakage, rate notification, cash breaks).
- Produce management reports for the Transaction Manager portfolio.

**QUALIFICATIONS**:

- Bachelor's degree in Business, Commerce or Management
- Bachelor's degree in Law would be advantageous but not a requirement
- 2-5 years of banking experience in structured loans
- Knowledge of loan-related products and processes (Front Arena experience advantageous)
