Legal and Governance Manager

An exciting opportunity is available for a skilled **Legal and Governance Manager** to join a reputable Oil & Gas company based in Cape Town.

The Legal and Governance Manager will be reporting to the Managing Director.

This is an EE position.

**Requirements**:

- LLB or equivalent, qualified attorney
- At least 10 years’ prior working experience as legal advisor
- Solid knowledge of competition law, corporate and commercial law, property law and litigation
- Knowledge of legal principles and applicable legislation
- Working knowledge of petroleum legislation and regulatory framework is an added advantage
- Knowledge of petroleum industry is an added advantage
- Excellent written and verbal communication skills
- Strong negotiation skills
- Strong people management skills
- Highly analytical as well as detail-oriented

**Responsibilities**:
Legal and Contract Management:

- Developing, implementing, and monitoring policies, procedures, and rules to ensure a smoothly run legal department
- Day-to-day management of people, budget, and performance of legal department
- Provision of legal services in specialist areas of corporate and commercial law, competition law, consumer protection law, tax law, insurance law, environmental law, and litigation
- Drafting, reviewing, and negotiating wide range of business and operations contracts aligned with strategic requirements of the business
- Developing and drafting standard business contracts where relevant
- Liaise with company lawyers with regards to civil actions and providing lawyers with instructions
- Maintain register of contracts and other legal documents
- Managing and optimising legal budget
- Instil culture of good contract management within line function/business owners
- Managing tagging of mobile assets of the company

Managing Litigation:

- Draft letters of demand on behalf of business
- Managing sensitive competition law litigation
- Managing general litigation for and against company
- Selecting, appointing, and managing external lawyers in South Africa
- Managing and submitting all claims against Credit Insurance and liaising with credit insurance provider on claims as well as advising on optimal process to substantiate claims
- Monthly update of litigation issues

Governance, Compliance and Ethics:

- Development and implementation of legal compliance programs in general including compliance with new legislation impacting the company
- Proactively identifying and managing legal risks which company or may be exposed to
- Act as “Compliance Officer” of company
- Legal advisory function to all department of the company on various matters, including but not limited to competition matters and compliance with legislations (e.g., PAIA, POPI, OHS Act, CPA, NCA, Companies Act and King Report where applicable)
- Compliance reporting to Paris Head quarters
- Instil culture of good governance within organisation
- Maintain the internal levels of authority, including the updating and withdrawal of limits
- Maintain a register of company delegations of authority both internal and external
- Manage gift register, conflicts of interest declarations register
- Ensure conducting of due diligence in line with Company standards and requirements
- Investigate/report on fraud, Data protection or any other compliance matter
- Train employees on ethics/compliance programme

Risk:

- Manage and update the company’s strategic and operational risk register
- Monitor implementation of risk mitigations measures and control to reduce residual company risks

Insurance
- Responsible for ensuring that relevant insurance risks are identified and covered by insurance policies
- Managing relationships with insurance brokers and negotiating annual insurance premiums
- Negotiating annual insurance policy renewal
- Management of all insurance of the business and compile annual review of insurance cover in order to ensure that the business is adequately insured, and optimising insurance spend

**Salary**: Market Related

- legal advisor: 10 years (required)
- petroleum legislation and regulatory framework: 1 year (preferred)
