Legal & Risk Manager

**DUTIES**:
**Corporate Governance and Compliance**
- Set up company structures, supervise set up of new entities
- Statutory compliance and lodgement of all documents with the Companies and Intellectual Property Registration Office and the maintenance and updating of the companys register of members.
- Review corporate governance practices within group to ensure compliance with current legislation
- Maintain official letter heads for all companies
- Manage all company trademarks - ensure registration international - review annually
**Contracts and Agreements**
- Facilitate the drawing up and review of all Go-company agreements (JV Agreements, shareholder agreements, lease agreements, SLA''s, OTP, Purchase agreements, bills of lading, Acknowledgement of debt, payment plans, surety, letters of demand, confidentiality agreements, disclaimers)
- Ensure all contracts/agreements are recorded and filed
- Ensure all Group companies STC''s updated and compliant with legislation and minimises risk/exposure for the company
- Ensure alignment of STC between group companies
- Ensure all supplier STC''s/contracts are reviewed, vetted and signed before service are used
**Manage Risk Cover**
- Maintain Group risk register
- Develop and implement strategies to address identified risk
- Where insurance cover is taken ensure cover vs risk are adequate and reviewed annualy
- Manage insurance claims for the group
**Manage Claims**
- Maintain claims register
- Ensure claims are resolved in acceptable time frames
- Ensure claims for which insurance cover exist is submitted and finalised with insurance companies
- Ensure claims against service providers are resolved in good time
**Manage Legal Proceeding**
- Identify and consult appropriate legal counsel for legal disputes
- Advise on legal compliance/legal process across companies
- Manage contractual disputes and legal proceedings
**REQUIREMENTS**
- Appropriate tertiary qualification
- Previous experience in the same role
