Key Responsibilities Preparing meeting packs and recording minutes of various subsidiary and management structures Assisting with the compilation of approval frameworks, delegations of authority, charters and terms of reference, together with overseeing the database thereof Drafting board and shareholder resolutions Researching and providing updates on relevant company law, governance and sector‑specific legislative and other developments Assisting with governance reviews and other related initiatives within the Cluster Assisting with the update of all governance‑related documentation within the scope of the Company Secretariat functions Company administrative services, including keeping company records updated with CIPC, maintaining company registers, and acting as the point of contact with the external auditors who conduct annual company secretarial audits on those subsidiaries Minimum Requirements And Experience LLB 3‑5 years experience as a Company Secretary or in a Corporate Governance role Experience within the Financial Services sector would be an advantage Technical Competencies Knowledge of Company Law, corporate governance and company secretarial principles, practices and procedures Behavioural Competencies Team player Able to build relationships with staff across the various levels in the organisation High level of integrity and ethical conviction Excellent communication skills both written and verbal Ability to work accurately under pressure Excellent attention to detail with good planning and work management skills Proactive and have the ability to work independently The Sanlam Group is committed to achieving transformation and embraces diversity.
